REQUEST FOR EXPRESSION OF INTEREST ( CONSULTING SERVICES – FIRMS SELECTION ) Country : Ukraine Project : 176114: “Ukraine – Improving Power System Resilience for European Power Grid Integration (Installation of Hybrid Systems for Electricity Production in Ukrhydroenergo)” Grant No. : CTF Grant No. TF0B5724 Assignment Title : “Consulting service provision on training and workshops focused on Environmental, Social, and Corporate Governance (ESG)” Reference number : No. UHE-IPSR-ESG PJSC “Ukrhydroenergo” has received financing from the Clean Technology Fund (CTF) to cover the costs of implementing Project 176114: “Ukraine – Improving Power System Resilience for European Power Grid Integration (Installation of Hybrid Systems for Electricity Production in Ukrhydroenergo)” and intends to apply a portion of the proceeds for consultancy services under Part 2 . Technical Support of the Project. The consulting services (hereinafter referred to as the “Services”) envisage the implementation of the program of strengthening capacity of PJSC “Ukrhydroenergo” (UHE) in the area of Environmental, Social, and Corporate Governance (ESG), which shall include two complementary components: () conducting basic ESG trainings for a broad audience of UHE employees to promote a general understanding of ESG - integrating ESG aspects into UHE’s corporate management practices, including the European Sustainability Reporting Standards (ESRS) as part of the Corporate Sustainability Reporting Directive (CSRD) and the Corporate Sustainability Due Diligence Directive (CSDDD); and (ii) conducting in-depth practical sessions for employees directly involved in the implementation of ESG principles and reporting at UHE according to European Sustainability Reporting Standards (ESRS) and other standards of International Financial Institutions (IFI), as well as in the planning and implementation of projects using E&S risk management tools. Components of the assignment: () Component 1 – basic ESG trainings for a broad audience: development of a basic understanding of ESG concept; implementation and integration of environmental, social, and corporate governance (ESG) practices into all aspects of the Company's operations; integration of new reporting into business processes; ESG risk assessment, double materiality assessment, and understanding of the greenhouse gas emissions calculation process, including for taking them into account in cross-border electricity trade using UHE border carbon adjustment mechanism, among approximately 100 employees in key corporate functions. (ii) Component 2 – In-depth capacity building on ESMS and E&S risk management at the project level: Strengthening the practical capacity of approximately 30–40 employees directly involved in implementing UHE’s environmental and social policies, as well as in project planning and development, in particular through the development and implementation of an Environmental and Social Management System (ESMS) and risk management tools at the project level. (iii) Preparing reports by each component separately and a consolidated report on the follow-up activities based on the results of the conducted training sessions. The contract is scheduled to begin on 30.10.2026, and its approximate completion period is 6 months from the effective date of the contract. More details on the Services are provided in the Terms of Reference that can be uploaded by this link: https://drive.google.com/drive/folders/10YpUAT00aLipxY_GQPYQ1_sfAM_vFjYo?usp=drive_link At this stage, the Terms of Reference are provided for Information purpose only, to enable the Consultant to understand the nature, specifics, and scope of the assignment. It will not be discussed with the Consultants at this stage, and any changes, if appropriate, will be agreed upon with the most qualified Consultant at later stages of the selection process. The most qualified Consultant will be selected based on the qualification criteria listed below. PJSC “Ukrhydroenergo” now invites qualified consulting firms (the “Consultants”) to express their interest in providing the specified Services. The interested Consultants shall provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The criteria for listing the interested Consultants are as follows: The Consultant is a legal entity duly registered in accordance with the laws of its country of registration. The Consultant’s qualifications shall meet the following requirements: Mandatory qualification : Experience in completing at least 2 (two) assignments within projects financed by international financial institutions (the World Bank, the EBRD, the EIB, or other international financial institutions) starting from 2020, including at least one assignment related to ESG/E&S/sustainable development; Proven experience in organizing and conducting training events (training sessions, seminars, workshops) in the field of environmental, social, and/or corporate governance (ESG / E&S / sustainable development)—at least 20 events since 2020, including both online and offline formats; At least 5 (five) developed training programs, methodological manuals or templates in the field of sustainable development / ESG since 2020; Implementation of at least 3 (three) assignments/contracts for building institutional capacity on ESG issues for government agencies, state-owned enterprises, or large companies since 2020; At least 2 (two) assignments, within which the Consultant explained or implemented the World Bank’s ESF requirements, the EBRD standards or EU directives on sustainable development (CSRD, CSDDD, WFD); Participating in the implementation of at least 2 (two) contracts within projects financed by the World Bank, the EBRD, the EIB or other international financial institutions; Capability to develop and provide training materials in English and Ukrainian. Preferred Qualifications (give advantage when ranking ) : Experience in working with companies in the hydropower or fuel and energy sectors; Experience in developing or conducting training in the context of martial law or post-conflict recovery, including training in Ukraine or in a similar operational environment. Key Experts will not be evaluated at the shortlisting stage. The shortlist will contain no more than 5 firms. The attention of interested Consultants is drawn to paragraphs, 3.14, 3.16, and 3.17 of Section III of the World Bank Procurement Regulations for IPF Borrowers (the “Procurement Regulations”), November 2020 edition, setting forth the World Bank’s policy on conflict of interest. Consultants may associate with other firms to enhance their qualifications, but shall clearly specify whether such an association has the form of a Consultants joint venture (JV) and/or a subcontract for consulting services. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the contract, if selected. A Consultant will be selected in accordance with the Consultant’s Qualification-based Selection (CQS) method set out in the World Bank’s Procurement “Procurement Regulations for IPF Borrowers” (“Procurement Regulations”) and as further specified in the Request for Proposals. Expressions of Interest shall be submitted with the following reference in the subject line: “UHE-IPSR-ESG: Expression of Interest”. In order to facilitate the preparation and submission of the relevant information, the Consultants are proposed to use the following template for the preparation and submission of the Expressions of Interest (available at the following link: https://drive.google.com/drive/folders/1Rc6ccdb0m9W6If0A5b3SZwjxQSeXZhvr?usp=drive_link ) . At the same time, the Consultants may, at their own discretion, formulate and present relevant information in any form that, in the Consultant’s opinion, reflects the Consultant’s vision of presenting their qualifications and experience for the services provision best of all . Consultants that will provide not only the information confirming their compliance with the qualification requirements, but also be able to demonstrate the ability to perform the tasks as stated in the Terms of Reference and meet the stated per-expert requirements as per ToR will be at advantage during the selection process. The Consultants will be ranked based on the above. The Consultant with the highest rating determined in accordance with the established criteria for evaluating the Consultant’s qualifications will be invited to submit its technical and financial proposal . The information about the Consultant’s experience provided by the Consultant shall be confirmed by documentary evidence (copies of contracts or parts thereof and service acceptance certificates, and possibly clients’ references disclosing the specifics of the assignment performed may also be provided ). Additionally, attention of the interested Consultants is drawn to the following aspects of preparing their information : the files sent by the Consultant shall be in PDF (Portable Document Format) and/or JPG formats and must be grouped logically, as much as possible ; in the process of preparing the information that describes your qualification and experience, please, maximize disclosure of information confirming the compliance with the established qualification criteria and the assignment specifics . please, enclose copies of documents, that evidence the indicated experience and competence; also, provide contact details of third parties who can confirm your experience and provide relevant references . Expressions of Interest submitted after the deadline may not be accepted by the Client for consideration if the list of Consultants with the required qualifications has already been formed up by that time . The Consultants who already submitted their Expressions of Interest shall not submit any documents or information after the deadline for submission of Expressions of Interest, except for the cases when they provide relevant documents and/or information at the request of the Client to clarify or specify the submitted Expressions of Interest . Any communications between the Client and the Consultants shall be made in writing via the official e-mail addresses specified herein .
