Specific Procurement Notice Request for Bids Goods (Two-Envelope Bidding Process) Country: Georgia Name of Project: Trans-Caspian Transport Corridor – Georgia Accessibility and Transport Enhancement Project (Project) Contract Title: Procurement of 45 Main Line DC Freight Electric Locomotives and Full Long-term Technical Maintenance Loan No.: IBRD-99810 RFB Reference No.: GE-GR-563165-GO-RFB Georgia has received financing from the World Bank (Bank) toward the cost of the Trans-Caspian Transport Corridor – Georgia Accessibility and Transport Enhancement Project (Project), and intends to apply part of the proceeds toward payments under the contract for Procurement of 45 Main Line DC Freight Electric Locomotives and Full Long-term Technical Maintenance. This contract will be jointly financed by Asian Development Bank (ADB). Bidding process will be governed by the World Bank’s Procurement Regulations. For this contract, the Borrower shall process the payments using the Direct Payment disbursement method, as defined in the World Bank’s Disbursement Guidelines for Investment Project Financing. 2. The JSC Georgian Railway (GR) now invites sealed Bids from eligible Bidders for Procurement of 45 Main Line DC Freight Electric Locomotives and Full Long-term Technical Maintenance to be to be delivered by a single manufacturer. Permitted Locomotive Configuration The Bidder shall offer one of the following locomotive configurations only: 2 × Bo-Bo integrated locomotive configuration — total quantity: 45 units; or Separate paired Bo-Bo locomotive configuration — total quantity: 90 units, forming 45 operational locomotive pairs. Each proposed configuration shall meet all specified performance requirements, including traction capacity, rated power, operational efficiency, compatibility with the Purchaser’s network, and all other technical requirements. No alternative quantity or mixed configuration shall be accepted. The Bid shall be based exclusively on either 45 integrated units or 90 separate Bo-Bo units forming 45 pairs (hereinafter referred to as "45 locomotives") . Delivery Requirement: The locomotives shall be delivered to the depot in city Khashuri, Georgia under the CIP conditions. The 1st locomotive shall be delivered within 27 months from the contract effectiveness date. The remaining 44 locomotives shall be delivered within the deadlines defined in Section VII – Schedule of Requirement to ensure completion of all deliveries within 55 months from the contract effectiveness date. Scope of the contract includes design, manufacturing, delivery, testing, commissioning (supplied system fully operational, accepted, and ready for commercial service) of 45 Main Line DC Freight Electric Locomotives and at least 2-year warranty period. The contract will be financed by 50/50 from World Bank and ADB sources. In addition, the scope includes the provision of full technical maintenance services (excluding major overhauls) for the delivered locomotives. These services shall commence upon the Operational Acceptance of the first Locomotive and shall continue throughout the Warranty Period and the subsequent ten (10)-year post-warranty maintenance period for each Locomotive. The overall duration of the Locomotives Maintenance Agreement shall expire upon completion of the ten (10)-year post-warranty maintenance period applicable to the latest delivered Locomotive or batch of Locomotives. The maintenance services shall cover spare parts, consumables, major components, and all necessary maintenance activities. For this purpose, a separate maintenance service agreement will be entered into with the successful Bidder. The terms and conditions of this agreement and are included in the bidding documents and incorporate performance-based Key Performance Indicators (KPIs), payment mechanisms structured on measurable performance criteria, and a price adjustment formula. The maintenance service agreement will be financed from the Purchaser’s own resources and may be extended subject to satisfactory performance. Under this arrangement, the Supplier shall, as part of its maintenance obligations and at its own cost, design, construct, equip, and commission a new fully operational service center (depot) for the maintenance of at least the forty-five (45) locomotives. Subject to the Supplier’s full compliance with the performance, availability, and maintenance obligations under the Lcomotives Maintenance Agreement, the Purchaser grants the Supplier the right to use the depot facilities for third-party rolling stock and maintenance services. Under all circumstances, the Purchaser’s operational and maintenance requirements shall take precedence. The depot shall be completed and ready for operation prior to the Operational Acceptance of the first locomotive. For the purpose of new depot, the Borrower shall provide the Supplier with a land plot located within the existing Khashuri depot. The land shall be made available free of charge for the entire duration of the maintenance service agreement under a right of superficies arrangement, granting the Supplier the legal right to design, construct, operate, and maintain the depot on the provided land for the contract period. The Supplier shall retain ownership of the depot, its infrastructure, and all installed equipment during the period in which it is responsible for maintenance services and depot operations under the maintenance contract. Capabilities and Qualification Requirements: To implement the scope of the contract the Bidder shall meet the following requirements: Qualification Qualification Criteria (ITB 32.1) The Purchaser shall assess each Bid against the following Qualification Criteria. Requirements not included in the text below shall not be used in the evaluation of the Bidder’s qualifications. Financial Capability : The Bidder shall submit audited financial statements or, if not required by the law of the Bidder’s country, other financial statements acceptable to the Purchaser, for the last three (3) years (2023-2024-2025) prior to bid submission deadline, demonstrating the current soundness of the Bidder’s financial position. For a joint venture, this requirement shall be met by each member. Specific Experience : (i) The Bidder shall demonstrate that it has successfully completed at least two (2) contracts in the role of prime contractor within the last ten (10) years prior to bid submission deadline, each for delivery of at least ten (10) main line electric locomotives for the maximum operating speed 120 km/h that are similar in nature and complexity to the Goods and Related Services required under this RFB. The Bidder shall submit relevant completion certificates, taking-over certificates, or equivalent documents acceptable for the Purchaser, issued by previous clients and confirming the successful completion of delivery, testing and current successful operation of locomotives. For a joint ventures, this requirement may be met by all members combined. (ii) The Bidder shall demonstrate that it has successfully substantially completed[1] at least one (1) contract in the role of prime contractor within the last ten (10) years prior to bid submission deadline, each for provision of maintenance or overhaul services of at least twenty (20) main line electric locomotives that are similar in nature and complexity to the Full Technical Maintenance service required under this RFB. The Bidder shall submit performance certificates or reference letters acceptable for the Purchaser, issued by the previous clients confirming that the contract has been or is being performed satisfactorily. For a joint ventures, this requirement may be met by all members combined. Documentary Evidence: The Bidder shall furnish documentary evidence to demonstrate that the offered Goods meet the following requirements: Prospective bidders must be able to show from independent data that their offered electric locomotive is of mature technology, meaning that it has operated at required contractual levels of availability and reliability in revenue-earning service for at least one year. All major components, including bogies, traction motors, control equipment and braking systems must be individually shown to be of mature technology, meaning that they have been type tested and have been in successful revenue-earning service for at least one year. Manufacturing experience and Technical Capacity : For the items under the Contract that the bidder is a manufacturer, the Bidder shall furnish documentary evidence to demonstrate that: it has manufactured goods of similar nature and complexity for at least 10 years, prior to the bid submission deadline; and (ii) its annual production capacity of goods of similar nature and complexity for any of the last 10 years prior to the bid submission deadline, is at least eighteen (18) locomotives. The Bidder shall provide documentary evidence to demonstrate compliance with the above requirements. The Purchaser reserves the right to request additional information or clarification to verify the Bidder’s production capacity. Cyber security experience. The Bidder will demonstrate its cyber security experience, practice and track record, including experience in navigating compliance requirements and regulatory standards related to cyber security. The Bidder shall provide documentary evidence of relevant cyber security accreditation such as IEC 62443 or EN 50159:2010 or ISO 27000 (ISO 27001) or equivalent. The Bidder shall provide a cyber security risk assessment and management plan to ensure that the product meets legal and industry-specific security standards and ensures that there are no harmful algorithms in the control systems that can negatively affect operation of the locomotive. Manufacturer’s authorization : A Bidder who does not manufacture an item/s where a Manufacturer Authorization is required in accordance with BDS ITB 17.2 (a), the Bidder shall provide evidence of being duly authorized by a manufacturer (Manufacturer’s Authorization Form, Section IV, Bidding Forms), meeting the criteria in (d) (i) and (ii) above, to supply the Goods; A bidder who does who does not manufacture an item/s where a manufacturer authorization is not required in accordance with BDS ITB 17.2 (a), the bidder shall submit documentation on, its status as a supplier, to the satisfaction of the Purchaser (e.g. authorized dealer/ distributor of the items) . At the time of Contract Award, the Bidder (including each sub-contractor proposed by the Bidder) shall not be subject to disqualification by the Bank for non-compliance with SEA/ SH obligations. 3. Bidding will be conducted through international competitive procurement using a Request for Bids (RFB) as specified in the World Bank’s “ Procurement Regulations for IPF Borrowers” dated September 2025 (“Procurement Regulations”), and is open to all eligible Bidders as defined in the Procurement Regulations. 4. Bids will be evaluated in accordance with the evaluation process set out in the bidding documents. The following weightings shall apply for Rated Criteria (including technical and non-price factors): 40% and for Bid cost: 60%. 5. Interested eligible Bidders may obtain further information on RFB document by sending e-mail at the address given below. 6. The bidding document in English may be obtained by interested Bidders after the submission of a written request to the address: TCGATE@railway.ge . The document will be sent free of charge by e-mail. 7. Bids must be delivered to the address below on or before October 30, 2026, time 17:00 Tbilisi time . Late Bids will be rejected. Electronic Bidding will not be permitted. The outer Bid envelopes marked “Original Bid”, and the inner envelopes marked “Technical Part” will be publicly opened in the presence of the Bidders’ designated representatives and anyone who chooses to attend, at the address below on October 30, 2026, time 17:00 Tbilisi time . All envelopes marked “Second Envelope: Financial Part” shall remain unopened and will be held in safe custody of the Purchaser until the second public opening.8. All Bids must be accompanied by a “ Bid Securing Declaration”. 9. Attention is drawn to the Procurement Regulations requiring the Borrower to disclose information on the successful bidder’s beneficial ownership, as part of the Contract Award Notice, using the Beneficial Ownership Disclosure Form as included in the bidding document. 10.
