Vendor needs to provide bond counsel legal services to the government authority located in Texas.– Bond counsel is expected to assign those attorneys and professionals employed by the firm who are best suited to appropriately respond to requests for these legal services.– Bond counsel shall provide legal advice on developing and structuring bond issues and financial transactions, including, without limitation, the tax aspects thereof.– Bond counsel shall provide advice regarding suitable forms of financing for housing programs or projects, including any refinancing or restructuring of existing projects as well as new projects that are under consideration.– Bond counsel shall draft, and or assist with the drafting of official statements, trust indentures, loan agreements, and other documents relating to the issuance of bonds.– Bond counsel shall provide advice and analysis regarding relevant federal, state, or municipal law, and any proposed federal, state or local legislation or regulations as it relates to public finance.– Bond counsel shall render opinions concerning the validity of the bonds issued and, if applicable, the tax–exempt status of such bonds from federal, state, and local taxes, and other related matters.– Bond counsel shall render supplemental opinions as requested, including the exemption of bonds from certain securities laws.– Bond counsel shall provide advice on tax matters relating to properties financed by bonds and render tax and written legal opinions.
