(1) Vendor needs to provide general legal counsel services to the government authority located in Schuylerville, NY. – General municipal counsel:– Advise concerning the powers, responsibilities, and limitations of the Board and the respective roles of the participating.– Provide legal guidance to the Chair, Board members, clerk, treasurer, and other authorized representatives.– Prepare or review resolutions, agreements, policies, notices, correspondence, and other governmental documents.– Advise the board concerning conflicts of interest, ethics requirements, and other municipal governance issues.– Board meetings and governance:– Attend regular or special Board meetings when requested.– Provide legal guidance regarding Board procedures and governmental decision–making.– Advise concerning executive sessions and other meeting–related legal matters.– Review proposed Board actions when legal review is warranted.(2) The contract period will be for one year.
