LEGAL-18486 - USA (Chattanooga, Tennessee) - Bond Counsel Legal Services - Deadline November 30,2026

(1) Vendor needs to provide bond counsel legal services to the government authority located in Chattanooga, TN. – Provider methodology and, if the rating supports it and the board of commissioners subsequently authorizes, to establish a bond program under secured solely by non–federal revenues (developer fees, affiliate cash flow, and affiliate program fees).– Structure and document the pledge of non–federal revenues, including the use recital and compliance with (no pledge of public–housing property, assets, income, or Section 18 proceeds; non–recourse treatment).– Prepare the master trust indenture, supplemental indentures, bond resolutions, continuing disclosure undertakings, and all related financing documents.– Render approving, authority, and (where applicable) federal tax opinions, including analysis of governmental and essential–function versus private activity status, tax covenants, and arbitrage and rebate compliance.– Prepare or review official statements and other offering documents in coordination with the municipal advisor and any underwriter or disclosure counsel, and advise.– Participate in the rating process as requested and advise from a legal perspective on the rating presentation and the federal separation of pledged revenues.– Any other requested services necessary to complete the rating engagement and any authorized issuance.(2) All the questions must be submitted no later than November 9, 2026.(3) The contract period will be for one year.
