(1) Vendor needs to provide company secretarial compliance audit service to the government authority located in India. – An independent review of the company's secretarial and statutory compliance framework, including to:– Review corporate governance documents, statutory registers, and records for compliance with the companies act, 2013.– Applicable secretarial standards. Examine board and committee meeting documentation, including notices, agendas, minutes, attendance records, and resolutions, to verify compliance with statutory requirements. – Verify annual and event–based filings with the registrar of companies (roc), including adherence to filing timelines and applicable– Statutory requirements. Review records available on the ministry of corporate affairs portal and reconcile them with the company's statutory records.– Identify compliance gaps, assess regulatory risks, and recommend corrective actions to strengthen the company's compliance framework.
