(1) Vendor needs to provide investment transactions law and litigation services to the government authority located in Baltimore, MD.– Advise on issues presented by the structure and governing documents for investment transactions, including investing in: externally managed private funds, private fund co–investment opportunities and separate accounts.– Sale and purchase of private fund interests on the secondary market, private fund continuation vehicles, private markets investments via funds–of–one or similar vehicles and engaging brokers and other capital market participants and counterparties in connection with internally managed investments.– Advice with respect to the regulation of investment managers, brokers, fund sponsors, and other capital markets participants and counterparties with whom the System has transacted or proposes to transact in connection with its investments.– Securities law issues that may arise in conjunction with the receipt of distributions consisting of restricted stock or other securities.– Counseling the board of trustees and investments staff on matters pertaining to shareholder advocacy and engagement.– Services may include the provision of legal advice to the system with respect to threatened, prospective or ongoing litigation and representation of the system in adversary proceedings before state or federal courts and administrative forums, as well as in alternative dispute resolution.(2) All questions must be submitted no later than September 8, 2026.(3) The contract period will be for five years.
