(1) Vendor needs to provide legal counsel services for the board of education to the government authority located in Pueblo, CO.1. Board Governance and Authority– Advise the Board regarding its statutory authority, fiduciary responsibilities, governance procedures, delegation of authority, and relationships among the Board, Superintendent, administration, and District counsel.2. State Open Meetings Law– Provide timely guidance for regular, special, emergency, work session, retreat, and committee meetings.3. Board Policy and Governance Documents– Review, draft, and revise Board policies, regulations, bylaws, governance protocols, resolutions, and other Board–level documents.– Advise regarding legal compliance, consistency, implementation authority, and the distinction between policy and administrative procedure4. Ethics and Conflicts of Interest– Advise the Board regarding ethics, fiduciary duties, conflicts of interest, recusals, required disclosures, gifts, incompatible roles, and related governance concerns.5. Superintendent Governance Matters– Advise regarding the Superintendent's employment agreement, evaluation process, goals, compensation, succession planning, separation matters, and Board authority.6. Executive Sessions and Privileged Communications– Advise regarding lawful grounds, announcements, attendance, confidentiality, records, and procedures for executive session.7. Legal Opinions, Settlements, and Disputes– Prepare written or oral legal opinions requested by the Board.(2) All question must be submitted no later than August 11, 2026.
