(1) Vendor needs to provide academy placement agent and underwriter services for the financing of the academy's new permanent campus including careers in agriculture, natural resources, science, technology, engineering, skilled trades, and entrepreneurship through hands–on learning to the government authority located in Idaho.– The selected firm will assist the Academy in structuring, arranging, and closing the complete project financing, which is anticipated to include senior debt, subordinate debt, and other capital sources as appropriate.• Assemble a complete, close able capital stack that fully funds the Project, including construction, soft costs, financing costs, and required reserves.• Achieve the lowest reasonable all–in cost of capital over the life of the financing.• Structure debt service and covenants that the Academy’s operating budget and enrollment projections can reliably support as a growing school.• Preserve flexibility to refinance or take out interim or higher–cost debt as the Academy’s operating history and credit profile mature, including potential future tax–exempt bonds and credit enhancement.– Plan of Finance and Structuring• Financing sizing and sources and uses.• Structure of each layer, including term, amortization, interest–only periods, and capitalized interest during construction.• Reserve requirements, including debt service reserves and construction contingency– Ground Lease and Leasehold Financing• Lease term and renewal options relative to debt maturities.• Leasehold mortgage rights, lender notice and cure rights, and lender step–in and new–lease rights.• Estoppel and recognition or non–disturbance requirements.(2) All question must be submitted no later than October 9, 2026.
