(1) Vendor needs to provide underwriter consulting services to the government authority located in Toms River, NJ. – Underwriters to provide underwriting and related investment–banking services in connection with bonds, notes and other financing obligations that the Authority may issue during the contract term.– The pool to serve as senior managing underwriter, co–managing underwriter, placement agent or in another appropriate underwriting capacity on a project–by–project or financing–by–financing basis.– Advise the Authority regarding current market conditions, investor demand, financing structures, credit considerations and the anticipated marketability of proposed obligations.– Assist the Authority in developing and evaluating financing structures for projects undertaken by the Authority or on behalf of participating municipalities, local units and other eligible entities.– Recommend the appropriate structure, timing, maturity schedule, redemption provisions, interest–rate structure, security provisions and method of sale for each proposed financing.– Develop preliminary financing plans, pricing analyses, debt–service schedules, comparable transaction analyses and estimated costs of issuance.– Evaluate proposed bond, note, lease–purchase, pooled–financing, refunding and conduit–financing structures.– Provide the Authority with information regarding investor interest, market reception, proposed pricing, underwriting spreads, takedowns and other relevant transaction costs.– Recommend a proposed pricing scale and assist the Authority in evaluating and approving the interest rates, yields, maturities, redemption provisions and other pricing terms for each issuance.(2) The contract period will be one year.
