Sole Source Justification for Key2Ed FIEP Training Services

Sole Source Justification In accordance with Florida procurement requirements, this purchase qualifies as a Sole Source procurement because only one responsible source can provide the required services, and no other product or service can reasonably meet the District’s needs. Key2Ed, Inc. exclusively owns and provides the proprietary intellectual property “Conflict Prevention and Resolution through IEP Facilitation,” including all related training methodologies, manuals, videos, electronic materials, and instructional content. This intellectual property is protected and cannot be used, replicated, or delivered by any other vendor, company, or individual. Key2Ed, Inc. is the only vendor authorized in the United States to provide training using this facilitation method, which has been recognized as an exemplary practice for IEP team facilitation since 2000. No other vendor offers comparable services that meet the District’s requirements, and no other vendor is legally permitted to provide this training. Because competition is not available and no reasonable alternative exists, this procurement is not suitable for competitive solicitation. The pricing for the services is considered fair and reasonable, consistent with the fees Key2Ed charges other school districts and state education agencies. Given the proprietary nature of the services, exclusive ownership of the required intellectual property, and the lack of alternative providers, approval of this sole-source procurement is justified and recommended
