FEDERAL GOVERNMENT OF NIGERIA FEDERAL MINISTRY OF WATER RESOURCES AND SANITATION IN COLLABORATION WITH THE FEDERAL MINISTRY OF POWER SUSTAINABLE POWER AND IRRIGATION FOR NIGERIA (SPIN) PROJECT IDA Credit No: IDA-76370 REQUEST FOR EXPRESSIONS OF INTEREST FOR CONSULTANCY SERVICES Assignment Title: ENGAGEMENT OF A CONSULTING FIRM FOR HYDROPOWER PUBLIC-PRIVATE PARTNERSHIPS (PPP) PROCESS AND GUIDELINES REVIEW Reference No.: FMWR&S/SPIN/QCBS/CS/2026/013 The Federal Government of Nigeria (FGN), through the Federal Ministry of Water Resources and Sanitation (FMWRS) in collaboration with the Federal Ministry of Power (FMP), has received financing from the World Bank toward the cost of implementing the Sustainable Power and Irrigation for Nigeria (SPIN) Project, and intends to apply part of the proceeds to finance the engagement of a Consulting Firm for the Hydropower Public-Private Partnerships (PPP) Process and Guidelines Review. The SPIN Project is designed to strengthen dam safety and improve the management of water resources for hydropower and irrigation in selected areas of Nigeria. The FGN through the development of a Hydropower Master Plan (HMP) seeks to increase collaboration between the FMWR&S and the FMP to attract private investment and partnerships in the hydropower sector. This requires an assessment of the existing legal, regulatory, institutional, and procedural frameworks governing private sector participation in the development and operation of brownfield and greenfield hydropower projects, to support efficient, transparent, and bankable implementation of the HMP. Purpose of the Assignment The consulting services ("the Services") seek to engage a qualified and competent consulting firm ("the PPP Advisory Firm") to assess the applicability and effectiveness of Nigeria's existing PPP legal, regulatory, and institutional frameworks as they apply to hydropower project development, and to provide recommendations for their enhancement, subject to the approval of the Infrastructure Concession Regulatory Commission (ICRC). The assignment will further support institutional capacity building for relevant stakeholders to strengthen readiness for effective implementation of the Hydropower Master Plan. The Federal Ministry of Water Resources and Sanitation in collaboration with the Federal Ministry of Power, through the Federal Project Management Unit (FPMU) of the SPIN Project, now invites eligible consulting firms ("Consultants") to indicate their interest in providing the Services. Interested firms must provide sufficient information demonstrating that they meet the required qualifications and relevant experience to perform the Services. The implementation period for this assignment shall be six (6) months from the date of contract signing. The detailed Terms of Reference (TOR) for the assignment can be found at the following link: https://1drv.ms/w/c/bea66a6a0847ee73/IQC1Z4MJC3tSTb0VnyJxEgpCAdb5VnyGP02NAi_3vt0u0Io?e=TJuBf2 The shortlisting criteria are: The firm shall have a minimum of ten (10) years of demonstrated experience providing Public-Private Partnership (PPP) advisory services, including transaction advisory, legal/regulatory framework review, and institutional strengthening, preferably within the infrastructure, power, or energy sectors. The firm shall demonstrate experience assessing legal, regulatory, and institutional frameworks for private sector participation in infrastructure or hydropower/energy project development, including PPP policy, procurement, and contract management frameworks. The firm shall demonstrate technical familiarity with the hydropower sector and/or Integrated Water Resource Management (IWRM), and an understanding of the interface between water resources management and power generation. The firm shall demonstrate prior experience designing and delivering institutional capacity building and knowledge transfer programmes (training, mentorship, coaching) for public sector agencies. The firm shall demonstrate its technical and managerial capabilities in providing Public-Private Partnership (PPP) advisory services. Evidence of similar assignments previously undertaken (Contract Award Letters, Job Completion Letters, and other evidence that may be required to verify such experience). NOTE: Key Experts will not be evaluated at the shortlisting stage. Selection of the Consulting Firm: Consultants will be selected in accordance with the Quality and Cost Based Selection (QCBS) method set out in the World Bank's Procurement Regulations for IPF Borrowers, 7th Edition (September 2025) ("Procurement Regulations"), and open to all eligible firms as defined therein. The attention of interested Consultants is drawn to Section III, paragraphs 3.15, and 3.16 of the World Bank's Procurement Regulations, setting forth the World Bank's policy on conflict of interest. Consultants may associate with other firms in the form of a Consortium/Joint Venture to enhance their qualifications and should indicate clearly whether the association is in the form of a joint venture and/or a sub-consultancy. In the case of a joint venture, all partners shall be jointly and severally liable for the entire contract, if selected. Evidence of such association must be provided in the Expression of Interest.
