(1) Vendor needs to provide proxy research and voting consultant service to the government authority located in Pennsylvania. • Work with treasury to develop and maintain a proxy voting strategy consistent with fiduciary responsibilities, integrated into treasury's proxy voting policies.• Review and discuss treasury's existing proxy voting policies annually and assess appropriateness of the current policy in the then current corporate governance landscape.• Provide proxy guideline development services and recommend improvements to treasury's proxy voting policies as advisable, including drafting of policy language on request.• Provide proxy voting policy updates at least annually, inclusive of a written memorandum summarizing proposed changes, rationale, and peer benchmarking.• Deliver impartial, substantive research on each proxy proposal across Treasury's portfolios• Analysis must address factors that matter to a public–fund fiduciary, including governance structure, board composition and independence, audit quality, executive compensation design, capital allocation discipline, and financially material environmental and social risks
