LEGAL-17184 - USA (Pineville, Kentucky) - Repositioning Legal Services - Deadline July 31,2026

(1) Vendor needs to provide repositioning legal services to the government authority located in Pineville, KY.– As requested by the agency, draft necessary documents in respect or tax credits transactions (e.g., Sponsor Loan documents, Ground Lease, Declaration of Restricted Covenants, HAP contracts);– Draft, negotiate, and evaluate agreements (e.g., Master Development Agreement with code development partner, financing agreements, Limited Partnership Agreements, Payment in Lieu of Taxes, Property Management Agreement). – Advise agency on local, state, and federal statutory and regulatory matters relative to implementation of the project;– Advise agency on creating the appropriate non–profit entity(ies) to facilitate the repositioning transactions;– Advise Agency on post–conversion ownership structures;– Provide comprehensive representation of the agency in negotiations with agency, investors, lenders, and other agencies as necessary;(2) All question must be submitted no later than July 22, 2026.
